1. Definitions
- "Agreement" means these Terms & Conditions, together with any written scope document or booking confirmation.
- "We / Us / Our" refers to Trustmoor, registered and operating at 305 Sukhumvit Road, Khlong Tan, Khlong Toei, Bangkok 10110, Thailand.
- "You / User / Client" refers to any individual or organisation that books, purchases, or uses our services.
- "Services" refers to the Records Q&A Session, the Document Toolkit & Templates, and the Family Office Archive Support, as described on our website and in any booking documentation.
- "Content" refers to all written materials, templates, summaries, and documentation produced or delivered by Trustmoor.
2. Acceptance of Terms
By making an enquiry, booking a service, or using our website, you confirm that you have read, understood, and agree to be bound by this Agreement. You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are booking on behalf of an organisation, you confirm that you are authorised to bind that organisation.
3. Service Description
Trustmoor provides information and organisational services relating to inheritance documentation and legacy record management. Our services are available to individuals, families, and organisations in Bangkok and surrounding areas. All services are provided in English.
Important limitation: None of our services constitute legal, financial, tax, or personal advice. We do not provide recommendations regarding individual estate planning, legal strategy, or financial decisions. We strongly recommend consulting qualified professionals for such matters.
4. Booking and Confirmation
A booking is confirmed when we have received your enquiry and replied with a written confirmation specifying the service, date (where applicable), and price. For archive engagements, a written scope document is issued and must be accepted in writing before work begins. No work commences until confirmation is complete.
5. Payment Terms
- All prices are stated in Thai Baht (฿) and are inclusive of applicable taxes unless otherwise stated.
- Payment is due within five working days of invoice receipt, unless otherwise agreed in writing.
- For archive engagements, a 50% deposit is required before work begins; the balance is due on completion.
- Accepted payment methods: bank transfer to our Thai bank account (details provided on invoice).
- Cancellation by client: Cancellations made more than 72 hours before a session receive a full refund. Cancellations within 72 hours of a session forfeit the session fee. Toolkit fees are non-refundable once the toolkit has been delivered. Archive deposit refunds depend on work completed at point of cancellation.
- Cancellation by Trustmoor: If we cancel a session, a full refund is provided or an alternative date offered at your preference.
6. Service Delivery Terms
- Sessions take place at a mutually agreed time and location (in-person in Bangkok or by video call).
- Document Toolkits are delivered digitally within three to five working days of confirmed payment.
- Archive engagements proceed according to a written timeline agreed before work starts. We will notify you promptly if circumstances outside our control affect any milestone.
- Scope changes requested by the client during an engagement will be assessed and, if agreed, result in a revised scope and pricing document.
7. Intellectual Property
All Content produced and delivered by Trustmoor — including templates, checklists, summaries, indexes, and documentation — remains the intellectual property of Trustmoor until full payment is received, at which point a limited, non-exclusive licence is granted for your personal or organisational use.
You may not reproduce, resell, or distribute our Content to third parties without prior written consent. The printed summary provided after Q&A sessions is licensed for internal use by attendees and their immediate families only.
8. Confidentiality
We treat all client information with strict confidentiality. Materials you share with us in connection with a service engagement are used only for that purpose and are not disclosed to third parties. We retain materials only for the period described in our Privacy Policy. You agree not to disclose any proprietary methods or templates provided under this Agreement to third parties.
9. User Responsibilities
- Provide accurate information when making enquiries or bookings.
- Use our services and Content for lawful purposes only.
- Not attempt to obtain personal legal or financial advice from Trustmoor staff — our role is strictly informational and organisational.
- Attend booked sessions at the agreed time; late arrivals may result in a shorter session.
10. Disclaimers
Our services are provided in good faith and to a professional standard. However:
- We do not warrant that information provided in sessions is exhaustive or that it addresses every circumstance relevant to your situation.
- We make no representation that following the toolkit or our organisational guidance will produce any particular legal outcome.
- Official requirements and document standards may change; we update our materials regularly but cannot warrant that all information is current at the precise moment of use.
- Trustmoor is not a law firm and no solicitor-client relationship is created by use of our services.
11. Limitation of Liability
To the maximum extent permitted under Thai law, Trustmoor's total liability to you for any claim arising from our services is limited to the amount paid for the specific service giving rise to the claim. We are not liable for indirect, consequential, or incidental losses, including but not limited to loss of documents, financial loss, or decisions made on the basis of information provided in our sessions or materials.
Nothing in this clause limits liability for fraud, wilful misconduct, or death or personal injury caused by our negligence.
12. Indemnification
You agree to indemnify and hold harmless Trustmoor and its staff from any claims, losses, or expenses (including reasonable legal costs) arising from your misuse of our services, breach of this Agreement, or violation of any applicable law.
13. Termination
Either party may terminate an engagement with written notice. Where termination is initiated by the client, payment obligations for work already completed apply. Where termination is initiated by Trustmoor for reasons other than client breach, fees for work not yet delivered are refunded. Clauses relating to intellectual property, confidentiality, disclaimers, and liability survive termination.
14. Dispute Resolution
This Agreement is governed by the laws of the Kingdom of Thailand. In the event of a dispute, the parties agree first to attempt informal resolution by contacting us at [email protected]. If informal resolution is not achieved within 30 days, disputes shall be submitted to the jurisdiction of the Thai courts in Bangkok.
15. General Provisions
- Entire agreement: This Agreement, together with any written scope document, constitutes the entire agreement between the parties in respect of the services described.
- Severability: If any provision is found to be unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of the right to do so in future.
- Assignment: You may not assign your rights or obligations under this Agreement without our prior written consent.
- Notices: Formal notices should be sent by email to the addresses specified in this Agreement.
16. Changes to These Terms
We may update these terms from time to time. Changes take effect from the date they are published on this page. Continued use of our services after that date constitutes acceptance of the revised terms. For material changes, we will notify existing clients by email where possible.
